The Constitution of
THE SYDICATE

Purpose

1.1          The name of this corporation shall be The Sydicate.

2.1 The purpose of this corporation shall be to promote and advance the average player through opportunities otherwise unattainable by oneself and provide a rich, family-like community.

Officers

3.1         There shall be 5 named first generation officers at all times, and an expandable second tier of officers to carry out tasks the first generation may not be able to.

3.2       The names of the first generation officers are as such: Master Commander, Mining Director, Fleet Coordinator, Industrial Advisor, and Relations Officer.


3.3       The names of the second tier of officers are set by those who create them.  Their responsibilities and tasks are also set forth by the first generation officer who is responsible for creation.

3.4       The creation or destruction of a second tier officer must be accepted by the first generation officers board.  This board can vote yes or no.  Yes must outweigh no to succeed.

3.5        Upon ratification of this document two articles detailing officers must always be in place.  The first article details the positions of the second tier officers, along with responsibilities and benefits of said position.  The second document will list all first generation officers and second tier officers. 

3.6        Should the membership believe that any officer has abused their power, the protocol is as follows.  Email anyone on the officer board with evidence.  The officer can then bring the evidence to the board and vote.  If there is a 75% vote to remove the officer, the officer will be terminated.  Should that vote fail, the membership is then allowed to vote.  A 90% vote is needed to remove the official from said position. 

4.1        The position of Master Commander is appointed to the CEO of the corporation.

4.2      Should the CEO resign his position, the position of Master Commander will be passed on to whomever becomes the next CEO.

4.3       The Master Commander’s responsibilities include uniting the officers and corporation.  He is also responsible for keeping open communications for the various sections of the corporation, and providing a means in which members can directly query any corporate decisions.  The Commander has the final say in corporate warfares and alliances.  Finally, the Commander is responsible for making sure operations run smoothly throughout the entire corporation.  As such, the Commander can remove power from a member or officer if their actions are inappropriate or harmful to the corporation.

4.4      The Master Commander maintains all unused corporation stock.

4.5       The Master Commander is responsible for making sure all charges applicable to the corporation are paid, for example rent.

4.6       The Master Commander can promote any single member to a secondary tier officer position without a vote needed by public, instead only an officer vote is needed.

5.1         The position of Fleet Coordinator is appointed to any member of the corporation that has good standings, a month’s worth of dedication to The Sydicate, and the desire of advancement for the corporation.

5.2       A member in the corporation qualifying for Fleet Coordinator position can apply for a position by formal email to the Master Commander if such a space is open.  After approval of the officer board, the membership then votes.  The Fleet Coordinator Candidate must have the majority of votes to claim the position.

5.3        The Fleet Coordinator is responsible for keeping the fleet fittings up to date.  In addition, the Fleet Coordinator is responsible for setting up the Fleet Management Plan found in section 15.  Finally, the Fleet Coordinator is in charge of making sure all active offices are stocked with ammunition should a war come upon the corporation.  If war does come, it is also the task of the Fleet Coordinator to gather intelligence reports on the enemy corporation, as well as be the first hand advisor to the Master Commander.

6.1         The position of Industrial Advisor is available for all members who have been in the corporation for over a month’s time, have good standing with the corporation, and have the desire of advancement for the corporation.

6.2       A member in the corporation qualifying for Industrial Advisor position can apply for a position by formal email to the Master Commander if such a space is open.  After approval of the officer board, the membership then votes.  The Industrial Advisor Candidate must have the majority of votes to claim the position.

6.3        The Industrial Advisor is responsible for the continuation of trade routes, the management of a trading fleet, and manufacturing within the corporation.  He is also responsible for maintaining the fuel for Player Owned Starbases.

7.1         The position of Mining Director is available for all members who have been in the corporation for over a month’s time, have good standing with the corporation, and have the desire of advancement for the corporation.

7.2       A member in the corporation qualifying for Mining Director position can apply for a position by formal email to the Master Commander if such a space is open.  After approval of the officer board, the membership then votes.  The Mining Director Candidate must have the majority of votes to claim the position.

7.3        The position of Mining Director includes the responsibilities of setting up mining operations, counting ore, and paying those involved.  After a mining operation, the Mining Director submits a form to the Master Commander describing how much money each person in the operation made.  The Mining Director is responsible for applying tax to the materials mined.  The Mining Director is also responsible for collecting ore that is collected by individuals outside of mining operations.  Payment options for fleet operations and non fleet mining are the sole responsibility of the Mining Director. 

8.1         The position of Relations Officer is available for all members who have been in the corporation for over a month’s time, have good standing with the corporation, and have the desire of advancement for the corporation.

8.2       A member in the corporation qualifying for Relations Officer position can apply for a position by formal email to the Master Commander if such a space is open.  After approval of the officer board, the membership then votes.  The Relations Officer Candidate must have the majority of votes to claim the position.

8.3        The Relations officer is responsible for maintaining clear and constant contact with the three branches of the organization.  Organizing plans of all of the officers and aligning them to the greater good of the corporation.  Maintain contact with members of all areas of the corporation, ensuring high moral and contentment from the general body of the corporation.  The Relations Officer is also responsible for planning various operations between the three different branches.  Finally, the Relations Officer is to set up and employ corporation members to train those who are newer to the corporation.

9.1         The channel “The Sydicate Officer’s Den” will be the meeting place for all official business of the corporation’s officers.  All content on said channel is strictly classified.

9.2       All First Generation Officers are allowed in at all times.  Tier Two Officers are allowed in with a majority vote from the  officer’s panel.

9.3        This channel will be moderated by the Master Commander.

Branches

10.1     Three branches are to be created.  They are Excavation, Military, and Industrial.

10.2   The Excavation branch shall be moderated by the Mining Director, the Military branch shall be moderated by the Fleet Coordinator, and the Industrial branch shall be moderated by the Industrial Advisor.

10.3    The Excavation branch is responsible for bringing in minerals for the Industrial branch to create ships and equipment.  The Industrial branch is responsible for making equipment for the Military branch and trading for money for the corporation.  The Military branch is responsible for protecting the corporation, mission running for money, and taking leadership positions in times of war.

10.4   Should a branch not operate effectively, a complete recreation with added amendments is possible by a mutual officer agreement.  Upon completion of the revised branch laws, the general public can vote upon them.  A score of 50% or higher is required for the branch to begin operating under these new laws.

Corporate Credit

11.1      The creation of corporation credit will replace the need for transferring isk.

11.2    Corporation credit will be posted on the bulletin board.  The board will be updated as much as possible, and each update will have a date associated with it.

11.3     Corporation credit can be used to buy anything the corporation makes or owns.  Exact price deductions cannot be stated due to costs of production, however deductions will be included on any purchase made inside of The Sydicate.  To do such, talk to an officer about what you want to buy.

11.4    To withdraw corporation credit to buy something the corporation cannot sell you, talk to an officer.  You can withdraw a maximum number of three times in 5 hours. 

11.5     Updating corporation credit is the sole responsibility of the Master Commander.  If something is wrong, immediately file a complaint with proof that your statement is indeed correct.

Membership Feedback

12.1    There shall be a channel named “The Sydicate Business Den” in which all feedback will be received as long as an officer is online.

12.2  This channel is to only be used for questions, complaints, comments, ect.  Any official business will take place on this channel.  Should this channel be abused, privileges will be revoked.

13.1     The most direct way of voicing feedback that is not a dialog is by email.  Email any officer, specifically the one who can help you to get results fastest.


The Death Fleet

14.1    Should a member intend to damage The Sydicate in any way, a death fleet can be assembled by both the Master Commander and Fleet Coordinator agreeing on this course of action.  A death fleet can be assembled with any members of the corporation.  The death fleet will engage the person causing a problem and destroy their ship.  Should a member’s intentions be severe, the pilot will be podded.  After such, the pilot will be given the choice to leave the organization.  If such is declined, the pilot is then on probation, and the corporation will work together to fix the problems at hand.

14.2  Activities that are considered to be damaging to The Sydicate include unprovoked violent actions against corporation mates, talking down to any member, leaving a station during wartime not in a Corporate Fleet, or blatantly going against the flow of the organization.  This is not to be confused with voicing your opinions.  Your opinions should always be heard, and if something is bothering you, you should message an officer.

The Fleet Management Plan

15.1     The creation and editing of the Fleet Management Plan shall be coherent with the filling of the Fleet Coordinator’s position.

15.2   The Fleet Management Plan involves every member submitting their aspirations for the next 3 months, which ships and equipment is going to be used.  The Plan takes into account what everyone will be flying and helps shape the Fleet we are going to be using.  The Plan is to be neatly written out in a document and posted on the bulletin board.

15.3    The Fleet Coordinator can change your ship selection within reason.  For a fleet to work properly certain aspects need to be present.  For the Fleet Coordinator to change your ship or ship fitting, there must be a need for the ship or fitting he has selected. 

15.4   The Fleet Management Plan will be updated at latest every 3 months.  Any changes you make in your training should be reported to the Fleet Coordinator through email.

In A Time Of War

16.1     Should war befall the Sydicate or the Sydicate actively declare war, the corporation is under lockdown.

16.2   During lockdown, the mining and industrial branches shall liquidate into the military branch.  All members are to stay docked in a station until an officer clears people to leave.  During times of war,  any member that is not involved in a fleet operation cannot leave a station at any time.

16.3    Should any alliance that The Sydicate is a part of go to war, The Sydicate will support them in their efforts.

Time of Need

17.1     A Time of Need is initiated by a 100% vote from the officer’s board.  An email will thereby be sent explaining what it is for.

17.2   In A Time Of Need, the corporation needs funds to advance, and will do the following: Tax will be raised to 75% and mining operations will be present for the entirety of the Time Of Need.  Within the month after the Time of Need, the corporation will pay back anything it can to its members.

17.3    A Time of Need period cannot last any longer than 3 days.  An extension of the Time of Need will need a 75% vote with the membership. 

Recruitment

18.1     Any player wanting to be a member of The Sydicate must apply to the corporation before anything else.

18.2   A player who has submitted an application is put on a trial run.  At that point they will be invited to “The Sydicate Recruitment Channel” and meet the members of the corporation.  A full API key and ID number is required for further checking.

18.3    After two days in the trial period and a successful API check, a vote will be started confirming the player in question.  The voting possibilities are yes, no, or I didn't get to know him.

18.4   If the Yes column outnumbers both No and I Didn't Get To Know Him sections, the player is a full member of The Sydicate.  If No overrides Yes, the player is rejected.  If more than 5 people wrote I Didn’t Get To Know Him, the period is extended for another three days, in which another vote is initiated at the end of the second day.

19.1     Any application that lists a name of a member of The Sydicate in its description, entitles said user to benefits.  Just for this, the member gets 500,000 isk.  In addition, if the player becomes a part of The Sydicate, the member gets 1,000,000 isk.  Furthermore, the member can also claim an additional 2,000,000 isk if the player they recommended has been with the corporation for a month.  The application bonus is automatically paid, however the other bonuses must be redeemed within two days of the event.  If it is passed two days, the opportunity has expired.

Finances

20.1   Corporate tax will be set at 30%

20.2 Any attempt to raise tax must be presented in an official document to the entire corporation and a vote must be held.  75% of the corporation must agree with the tax change to allow it to happen.

21.1    The CEO of The Sydicate may choose one member to be a co-financial officer.  This position has control over the wallet and is responsible for working with the CEO in keeping the corporation afloat financially. 

Fleet Operations

22.1  Fleet Operations will be split into three categories, mining, combat, and combined. 

22.2All Fleet Operations are run by the Master Commander unless the power is delegated to someone else.

22.3 All Fleet Operations besides mining require the full use of Ventrilo. 

22.4Fleet Operations involving Ventrilo follow a strict radio silence policy at the start of the operation.  Fleet Chat can be used until we are in hostile area engaging a target.

Leaving The Sydicate

23.1   With the urge to leave The Sydicate, a member must file a report with the Officers what compelled them to leave.  If nothing can be done to rectify the situation, it is asked to have a 48 hour notice before leaving the corporation. 

23.2 After leaving, an ex – member can revoke the action to leave and have all previous privileges, except for any positions they may have held, within 48 hours of leaving.  After 48 hours depletes, the opportunity to revoke the statement is gone.  While rejoining is still possible without going through the recruitment steps, the member is considered to be in the generation of people being recruited. 

Amendments and Bylaws

24.1  In order for anything to be added or altered in this document, a 75% vote in favor of the addition must be made by the members.  The addition in it’s fullness must be emailed to each member.  The voting period must last at least two days from when the email containing the change was sent. 

Ratification

25.1   Upon submission of this constitution, the membership will have 2 days to look over it and send emails detailing what they would like changed to the CEO.  A vote of 85% or more is required for this constitution to be ratified, at which point the constitution will be posted on the Bulletin Board and be active after an email is sent out.  Should a vote be cast as No, the member is thereby responsible to send an email detailing what is wrong with said constitution.  Any emails not received by the end of the vote will void any replies of “no”.

23.2          After leaving, an ex – member can revoke the action to leave and have all previous privileges, except for any positions they may have held, within 48 hours of leaving.  After 48 hours depletes, the opportunity to revoke the statement is gone.  While rejoining is still possible without going through the recruitment steps, the member is considered to be in the generation of people being recruited. 

Amendments and Bylaws

24.1          In order for anything to be added or altered in this document, a 75% vote in favor of the addition must be made by the members.  The addition in it’s fullness must be emailed to each member.  The voting period must last at least two days from when the email containing the change was sent. 

Ratification

25.1          Upon submission of this constitution, the membership will have 2 days to look over it and send emails detailing what they would like changed to the CEO.  A vote of 85% or more is required for this constitution to be ratified, at which point the constitution will be posted on the Bulletin Board and be active after an email is sent out.  Should a vote be cast as No, the member is thereby responsible to send an email detailing what is wrong with said constitution.  Any emails not received by the end of the vote will void any replies of “no”.
